These Terms of Service ("Terms") govern your access to and use of the services provided by AgentShift Technologies Pvt. Ltd. ("AgentShift", "we", "us", or "our"), including our website, APIs, and AI-powered customer support platform.

1. Acceptance of Terms

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the services.

2. Description of Service

AgentShift provides an AI-powered customer support platform integrated with WhatsApp. We provide tools to automate customer responses, manage tickets, and analyze support metrics.

3. User Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • Ensuring that your use of the service complies with all applicable laws, including data protection regulations (such as the DPDP Act).
  • Ensuring that the data you upload (knowledge base documents, FAQs) does not infringe on third-party rights.
  • Complying with Meta's WhatsApp Business Terms of Service.

4. Intellectual Property

The AgentShift platform, its original content, features, and functionality are owned by AgentShift Technologies Pvt. Ltd. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of any data or content you upload to the platform.

5. Payments and Billing

Our services are billed on a subscription basis. By subscribing to a paid plan, you agree to pay the fees associated with your chosen plan. All payments are processed securely via our payment gateway partner, Razorpay.

6. Limitation of Liability

In no event shall AgentShift, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Karnataka, India.
